Terms of Service

VerifyLocal is a subscription-based software platform that helps home services businesses manage their online reputation. The service includes:

• Monitoring and displaying Google reviews for your business
• AI-generated response suggestions for customer reviews (powered by OpenAI GPT-4o Mini)
• Review request campaigns sent to your customers via SMS (Twilio) and email (SendGrid) on your behalf
• Reporting and analytics on your review performance

We act as a technology platform. We do not manage your business reputation independently — you remain in control of what gets sent and published under your business name.

To use VerifyLocal, you must:

• Be at least 18 years old
• Be a business owner, authorized representative, or employee of the business you register
• Provide accurate and complete registration information
• Keep your login credentials confidential and secure

You are responsible for all activity that occurs under your account. If you believe your account has been compromised, contact us immediately at youngvisionariesai@gmail.com.

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

VerifyLocal is available for $99 per month per business location. Billing is handled securely by Stripe. By subscribing, you authorize Stripe to charge your payment method on a recurring monthly basis until you cancel.

• Billing cycle: Your subscription renews automatically each month on the date you first subscribed.
• Cancellation: You may cancel at any time from your account settings. Cancellation takes effect at the end of your current billing period — you retain access until then.
• Refunds: We do not offer pro-rated refunds for partial months. If you believe a charge was made in error, contact us within 30 days.
• Price changes: We will give you at least 30 days' notice before changing the subscription price.
• Failed payments: If a payment fails, we will attempt to retry it. Your access may be suspended if a balance remains unpaid after reasonable retry attempts.

VerifyLocal does not store your full credit card details. All payment data is handled directly by Stripe and subject to their security standards.

You agree to use VerifyLocal only for lawful purposes. You must not:

• Use the service to send unsolicited messages to people who have not done business with you or have not consented to receive messages
• Solicit, incentivize, or fabricate fake reviews in violation of Google's review policies or applicable law (including FTC guidelines)
• Use the platform to harass, threaten, or intimidate customers or competitors
• Attempt to reverse-engineer, copy, or create derivative products from our platform
• Upload or transmit malicious code, viruses, or disruptive content
• Use automation, bots, or scripts to access the service in ways not authorized by us
• Violate any applicable federal, state, or local law, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, or state consumer protection laws

Violations of this section may result in immediate suspension or termination of your account without refund, and may be reported to relevant authorities.

VerifyLocal uses OpenAI's GPT-4o Mini model to generate suggested responses to customer reviews. These suggestions are provided as a starting point to save you time — they are not automatically published.

You are solely responsible for reviewing, editing, and approving any AI-generated response before it is published publicly under your business name. By publishing a response, you represent that it is accurate, truthful, and complies with applicable law and platform policies (including Google's review response guidelines).

VerifyLocal does not guarantee the accuracy, tone, or appropriateness of AI-generated suggestions. We are not liable for any harm resulting from content you choose to publish.

VerifyLocal allows you to send review request messages to your customers via SMS and email. By using this feature, you represent and warrant that:

• You have obtained all necessary consents from your customers to receive marketing or transactional messages from your business
• The customer contact information you upload belongs to actual customers of your business who have done business with you
• You will honor opt-out requests promptly and not re-add opted-out contacts
• Your use of the messaging features complies with the TCPA, CAN-SPAM, and any applicable state laws

Messages are sent on your behalf through Twilio (SMS) and SendGrid (email). Standard messaging rates may apply to your customers' mobile carriers. VerifyLocal is not responsible for delivery failures caused by carrier filtering, incorrect contact information, or network issues.

You indemnify and hold VerifyLocal harmless from any claims, fines, or penalties arising from your messaging activities, including TCPA violations.

Your data is yours. You retain full ownership of all business information, customer contact data, review data, and content you upload or generate through VerifyLocal.

By using the service, you grant VerifyLocal a limited, non-exclusive license to store, process, and use your data solely for the purpose of providing the service to you. We do not sell your data or your customers' data to third parties.

You may export or request deletion of your data at any time by contacting us. Upon account cancellation, we will retain your data for up to 90 days before deletion, unless you request earlier deletion.

The VerifyLocal platform, software, brand, design, and documentation are owned by Young Visionaries AI LLC and protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, modify, distribute, or create derivative works from any part of our platform without our prior written permission.

If you provide us with feedback, suggestions, or ideas about the service, you grant us the right to use that feedback without restriction or compensation to you.

VerifyLocal is provided "as is" and "as available." We do not guarantee uninterrupted, error-free service, and we are not responsible for outages caused by third-party services (Google, Stripe, Twilio, SendGrid, OpenAI, Supabase, Vercel, etc.).

To the fullest extent permitted by law, VerifyLocal and its officers, employees, and affiliates will not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of business, revenue, data, or reputation
• Actions taken based on AI-generated content suggestions
• Damages arising from third-party service failures or platform policy changes (e.g., Google changing its review API)

Our total liability to you for any claim arising out of these Terms or your use of the service will not exceed the amount you paid us in the 3 months preceding the claim.

You may cancel your account at any time from account settings. Your subscription will remain active through the end of the paid billing period.

We may suspend or terminate your account at any time if:

• You violate these Terms
• Your payment is overdue after reasonable notice
• We believe your use of the service poses legal or reputational risk
• We discontinue the service (with at least 30 days' notice)

Upon termination, your access to the platform ends. Sections 7, 8, 9, 10, 11, and 12 of these Terms survive termination.

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms will be resolved in the state or federal courts located in Manatee County, Florida, and you consent to personal jurisdiction in those courts.

Before pursuing formal legal action, we encourage you to contact us at youngvisionariesai@gmail.com to attempt to resolve the issue informally.

We may update these Terms from time to time. When we make material changes, we will notify you by email and/or by displaying a notice in the platform at least 14 days before the changes take effect.

Your continued use of VerifyLocal after the effective date of updated Terms constitutes your acceptance of the new Terms. If you do not agree to the changes, you may cancel your account before the effective date.
